These Terms and Conditions ("Terms") govern your access to and use of the FloorCommand platform and related services ("Services") provided by Plannet Technologies, Inc. ("Plannet Technologies," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By using our Services, you represent that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.
2. Description of Services
FloorCommand is a field operations management platform designed for flooring installation companies. The Services include job scheduling and dispatch, subcontractor management, SMS notifications, customer communication tools, and related operational features. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Ensuring that your use of the Services complies with these Terms and all applicable laws.
- Promptly notifying us of any unauthorized access to your account.
4. SMS Messaging
The Services include automated SMS messaging capabilities for job dispatch, scheduling reminders, and homeowner communications. By using these features, you agree to:
- Obtain all necessary consents from recipients before sending SMS messages through the platform.
- Use SMS features only for legitimate operational purposes related to flooring installation services.
- Comply with all applicable laws and regulations governing electronic communications, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines.
- Honor all opt-out requests promptly.
You are solely responsible for ensuring that your use of SMS features complies with applicable law. Plannet Technologies is not liable for any claims arising from your SMS communications.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Send unsolicited or spam communications.
- Harass, threaten, or harm any individual.
- Transmit malicious code or interfere with the operation of the platform.
- Attempt to gain unauthorized access to any part of the Services or related systems.
- Resell or sublicense the Services without our written consent.
6. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any personal data you input into the platform has been collected lawfully and that you have the right to use it in connection with the Services.
7. Intellectual Property
All software, content, trademarks, and materials comprising the Services are the property of Plannet Technologies, Inc. or its licensors. These Terms do not grant you any ownership rights in the Services. You may not copy, modify, distribute, or create derivative works based on the Services without our express written permission.
8. Payment and Billing
Access to the Services may require payment of subscription fees as agreed upon between you and Plannet Technologies. Fees are billed in advance and are non-refundable except as required by law or as expressly stated in your service agreement. We reserve the right to suspend access for non-payment after reasonable notice.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANNET TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Plannet Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate these Terms upon written notice. We may suspend or terminate your access immediately if you breach these Terms or if continued access poses a risk to the Services or other users. Upon termination, your right to use the Services ceases and we may delete your data in accordance with our data retention policies.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Duval County, Florida.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms.
